Who Rules the Rulers?

The CEO reports to the Board of Directors. The Board reports to the Shareholders. Governance is the system of rules that controls a company.

Fiduciary Duty The legal obligation to act in the best interest of the other party (usually the shareholder). You cannot steal money or favor your friends.

Diversity and Inclusion (D&I) Boards used to be "Pale, Male, and Stale." Now, there is a push for diversity. Diverse boards make better decisions because they avoid groupthink.

Compliance Following the law. GDPR, OSHA, SOX. The alphabet soup of regulation is thick. Non-compliance leads to fines and jail.
